Arbitration and Mediation Experience

Counsel to parties in a number of international arbitrations; member of a three-person arbitration panel in a commercial arbitration in Canada involving the aviation industry; sole arbitration in an international arbitration through the ICC involving parties from Italy, Canada and the USA; arbitration of a dispute between two related corporations as to ownership of disputed property; arbitration, of a panel of three, of an international commercial dispute in the petrochemical industry; sole arbitrator in an LCIA arbitration in London, relating to international trade between England and North America; sole arbitrator of international dispute involving the entertainment industry; Chairman of an ICC arbitration panel involving an international construction contract; sole arbitrator of two international disputes involving the gaming industry; mediator in several professional negligence disputes; sole mediator between various shareholders of a private company as to a distributorship agreement to be entered into with one of them; co-mediator with a judge of the Supreme Court of Ontario (now retired) in a highly complex commercial dispute involving allocation of responsibility for damage due to environmentally sensitive spillage; mediator of a U.K. dispute involving inadequate hardware and software applications; mediator of a U.K. dispute involving inadequate design and execution of construction of a part for use in the automobile industry; mediator of a Canadian dispute among shareholders of a recreational enterprise.

- Employed by, and as of 1967 a partner in, Davies, Ward & Beck, barristers and solicitors of Toronto, Canada
- During this period represented Canadian underwriters and issuers of securities in public offerings and private placements

1982

- Appointed to be a Queen’s Counsel in Ontario

1989-Jan. 1994

- A partner in Gordon Capital Partners, which provided professional services to Gordon Capital Corporation (“GCC”), a leading independently-owned investment dealer in Canada With offices in Canada, New York City, Paris and London

September 1994

- Appointed to join Davies, Ward & Beck (barristers and solicitors of Toronto) as Counsel

Nov. 1996 - present

- Joined Ogilvy Renault, as a partner, and currently as a senior partner, to represent the firm in Toronto, and in London, England, in its corporate securities and alternative dispute resolution practices

Member of: board of directors, Investment Dealers Association of Canada (and Executive Committee, Corporate Finance Committee, Regulatory Oversight Committee, Nominating Committee); Advisory Board of the Office of the Superintendent of Financial Institutions of Canada; board of directors: GEAC Computer Corporation Limited; Middlefield Bancorp Ltd.; Bema Gold Corporation; YM Biosciences Inc.; Advisory Committee of Samuel Lunenfeld Research Institute; board of directors of Mount Sinai Hospital; board of directors of ADR Chambers International.

Chairman of: Audit Committee of Investment Dealers Association of Canada, Accounting Standards Oversight Council, established by the Canadian Institute of Chartered Accountants.

Past Chairman: Of a committee established by The Toronto Stock Exchange to review the adequacy of corporate disclosure in Canada and whether additional sanctions for inadequate disclosure, including civil liability, should be established. The Committee’s report led to legislation proposed in a number of Canadian provinces.

PUBLICATIONS include: Rules of Arbitration and Conciliation of the International Arbitral Centre of the Federal Economic Chamber, Vienna, found in Carswell’s Handbook of International Dispute Resolution Rules.
